How can I buy shares in MND?

To buy shares, please contact your usual financial intermediary, i.e. your bank or asset manager. You can also place an order directly with an online broker, once you have opened an account.

How do I take part in the General Meeting?

Any shareholder can attend the General Meeting or appoint their spouse or another shareholder as a proxy, regardless of the number of shares that they hold.

To take part in General Meetings, or to appoint a proxy, shareholders must provide proof in the form of a ledger entry at least three days before the date of the meeting.

A postal voting form will be sent by registered letter with acknowledgment of receipt to all shareholders who send a written request to the Company; such request must be delivered to the registered office no later than six days before the date of the General Meeting.

The duly completed form must be delivered to the Company’s registered office at least three business days before the date of the General Meeting. No options for remote voting or submitting questions to the Company in writing have been set up in respect of these meetings.

Shareholders who have voted by post will no longer have the option to attend the meeting directly or to appoint a proxy.

What is the difference between bearer shares and registered shares?

The names of bearer share holders are not forwarded to the issuing company. However, the holders of these shares are not anonymous, since they are shown on the account managed by the financial intermediary.

The names of registered share holders are shown in the issuing company’s ledgers.
There are two possible forms of registered shares:

  • "Administered Registered Shares": management of the securities account is entrusted to a broker.
    This service is invoiced by the broker;

  • "Directly Registered Shares": the securities are registered directly and solely in the issuing company's ledger. The issuing company administers the shares (most often via its representative).

Registration of the shares in registered form must be requested in writing from your broker.
